POSITION SUMMARY

Serves as a senior real estate expert responsible for leading complex leasing, acquisition, disposition, and occupancy transactions of various types of real estate, including office, clinical, medical, lab, land, and multi-family properties, in support of the University's strategic needs. Provides high-level technical analysis and policy guidance to conceptualize, structure, and negotiate real estate agreements of significant scope, sometimes in tens of millions of dollars in value and risk. Manages rigorous assessment of properties, ensures compliance with University policies, laws, and contractual obligations, and coordinates with the U.C. Office of the President, including its Real Estate Services and Strategies office and the Office of the General Counsel, and internal clients and stakeholders. Leads transaction negotiations, directs brokers and consultants, and represents the University in discussions with landlords and property owners and their brokers, attorneys, and advisors. Oversees the drafting and review of leases, negotiates and oversees the collection of fee-in-lieu payments, tenant improvement and operations-related lease

matters, and resolves high-impact issues. Prepares accurate and complex correspondence and reports to inform decision-making based on high-level analytical skills. Provides guidance and shares advanced transactional and policy knowledge with less senior real estate professionals and other team members within the department.

Incumbent functions with a high degree of independence and autonomy, advising real estate leadership and independently managing specialized projects and initiatives requiring expert judgment and problem-solving. Supervision consists of regular meetings with the Director of Real Estate to review regarding off-campus lease requirements, acquisitions, dispositions, priorities, projects and problem areas and incorporate feedback.

 


Department Summary

UCLA Real Estate provides cost-effective professional real estate services for UCLA entities, whih are continually improved in order to exceed the expectations of our customers and to fulfill our fuduciary responsibilites to the University.  We assist campus users with off-campus leasing and real estate agreements, third party agreements for on-campus space and coordinate purchases and sales of real property.  We also provide lease administration for our off-campus leases.

Negotiation and Preparation of University Leases

a. Secure executed Department Authorization Forms (DAFs) from departments, schools, and other University entities requesting a lease.  b. Coordinate with user groups and project managers to define in detail a user group's requirements.  c. Contact area landlords and/or work with brokers to locate suitable space for a department’s requirements.  d. Coordinate EIC review, seismic evaluation, Fire Marshall review, ADA review, and other compliance requirements.  e. Conduct economic analysis, and obtain and evaluate lease comparables.  f. Prepare and negotiate letters of intent and requests for proposals. Evaluate responses and formulate counteroffers.  g. Prepare lease documents.  Negotiate lease language, provide suggested lease language modifications and revisions in coordination with OGC and outside counsel.  h. Coordinate with UCLA Insurance and Risk Management to ensure compliance with UC Standing Orders regarding insurance, liability and indemnification.  i. In conjunction with UC’s Office of General Counsel, negotiate subordination and non -disturbance agreements with property owners and lenders.  j. Coordinate lease form approval for larger value leases with the U.C. Office of the President’s Real Estate Services & Strategies and the Office of General Counsel.  k. Coordinate lease execution.  l. Attend construction meetings, resolve punch list issues, and follow up with landlords regarding outstanding issues.  m. Coordinate with landlords, department’s lease administrators, and OGC to resolve lease enforcement and related issues.  n. Negotiate and finalize departmental fee-in-lieu of commission agreements with brokers and landlords.  o. Handle all aspects of leasing space to private commercial tenants in UC-owned buildings on and off campus.  p. Manages and maintains strong relationships with relevant internal and external entities.

Acquisition and Disposition of Property

a. Plans and directs transactions to fit within the University policy framework while still creatively structuring the transactions to achieve the desired results.  b. E stablishes values for various types of property and independently reaches conclusions based on original work and review of third-party appraisals.  c. In coordination with the Office of the President and the Executive Director and/or Director, negotiates terms for the acquisition and disposition of designated properties.  d. Retains third-party professional and consulting firms.  Arranges and coordinates inspections and due diligence of properties with various campus offices and third-party professional firms, and various campus entities, including Capital Programs, the campus Building Official, the Fire Marshall, and EH&S.  e. Evaluates and analyzes complex due diligence issues.  Request additional information and materials, and orders additional reports and testing as required.  f. Evaluates complex title and survey issues. Identifies issues to be addressed by counsel, title, and/or seller;  g. Analyzes submittals from external entities for accuracy and obtains required preliminary and policy compliance approvals.  h. Prepares drafts of Presidential and Regents’ approval Items, and supporting documents in coordination with UCOP’s RESS and OGC, system-wide offices, and UCLA  campus and Health entities.  i. In coordination with the Office of the President and the Executive Director and/or Director, review and request appropriate modifications and corrections to closing statements, wire fund transfers, and closing documents.  j. Oversees and monitors the progress of construction being performed by sellers.

Special Projects

a. Prepare financial analyses as needed.  b. Conducts high level research and prepare reports on unique University matters as needed.  c.  Assist the Executive Director and Director with other special real estate-related projects, as needed.  d. Recommends and documents policies and procedures.  e. Prepares various types of real estate license and occupancy agreements for the University.  f. Interprets contract requirements and represents the University in licensor compliance issues and/or disputes.  g. Prepares and obtains waivers to the U.C. Seismic Safety Policy and other U.C. policies as warranted.
